Terms of Service

These Terms of Service (this Agreement) govern access to and use of the Bridgecurrent cloud service and related websites, apps, and services (the Cloud Service or Product).
If you signed a separate Order Form (or other written agreement) with Bridgecurrent for the Cloud Service using the same account, and that agreement has not ended, then that agreement applies instead of this Agreement.
By signing up for, accessing, or using the Cloud Service, Customer accepts this Agreement and agrees to be bound by it. If you are accepting on behalf of a company or other entity, you represent that you have authority to bind that entity.

Order Form
Framework Terms.
This Order Form incorporates and is governed by the Framework Terms, which consist of (1) the Key Terms below and (2) the Standard Terms (Cloud Service Standard Terms Version 2.1), which are incorporated by reference. Any modifications to the Standard Terms made in this Cover Page control over conflicts with the Standard Terms. Capitalized words have the meanings given in this Cover Page or the Standard Terms.
Cloud Service.
Bridgecurrent's business-to-business web application and related services for supplier/vendor contact discovery, validation, and related workflow features.
Order Date.
The date Customer first accepts this Agreement (for example, by clicking "Sign up", "Create account", or similar).
Subscription Period.
Month-to-month, beginning on the Order Date, unless Customer purchases or Bridgecurrent provides a different subscription period via an Order Form, invoice, or checkout flow.
Cloud Service Fees.
As presented to Customer at purchase, in an Order Form, invoice, or checkout flow. If no fees are presented, then fees are $0 during any applicable trial period.
Payment Process.
Unless otherwise agreed in writing:
- If paid plans are offered: Customer authorizes Bridgecurrent to charge Customer's payment method on file on a recurring basis for the Cloud Service Fees; or
- If invoiced: Bridgecurrent will invoice Customer and Customer will pay each invoice within 30 days of receipt.
Non-Renewal Notice Period.
At least 30 days before the end of the then-current Subscription Period.
Use Limitations.
Customer will not (and will not permit anyone else to):
- Access the Cloud Service except for Customer's internal business purposes;
- Use the Cloud Service to build or improve a competing product or service; or
- Attempt to bypass authentication, access controls, or usage limits.
Technical Support.
Bridgecurrent will provide reasonable technical support via email during normal business hours.
SLA.
None.
Professional Services.
None.
Key Terms
Provider.
Bridgecurrent, Inc., a Delaware corporation (Bridgecurrent).
Customer.
The company or person who accesses or uses the Cloud Service.
Effective Date.
The Order Date.
Notices.
- Notices to Bridgecurrent: privacy@bridgecurrent.ai (or another email address Bridgecurrent designates by notice).
- Notices to Customer: the main email address associated with Customer's account (or another method Bridgecurrent reasonably selects if email is not available).
Privacy Policy.
Bridgecurrent's privacy policy is available at: bridgecurrent.ai/privacy
Governing Law.
The State of Delaware (excluding its conflict of laws rules).
Chosen Courts.
The state or federal courts located in Delaware, USA.
General Cap Amount.
1x the fees paid or payable by Customer to Bridgecurrent in the 12 months immediately before the event giving rise to the claim.
Increased Claims / Increased Cap Amount.
None.
Unlimited Claims.
None.
Additional Warranties.
None.
Other Changes (Modifications) to the Standard Terms.
Modifying the Standard Terms, Customer acknowledges that Bridgecurrent uses subprocessors and service providers (including hosting, authentication, analytics, and enrichment providers) to operate the Cloud Service, and that Bridgecurrent will use commercially reasonable efforts to contractually require those providers to protect Customer Data.
